  • Example: places of worship and missionary organizations.
  • This includes only those categories which the courts have decided as charitable. For example, relief to victims of natural disaster, services to old age or disabled, preserving of environment, welfare to children or victims of substance abuse, fire rescue operation, animal shelters or provide public amenities to benefit the community.

  • To qualify as a charity, an organization must have purposes that are exclusively charitable and charitable activities that support those purposes. The purposes (also called objects) describe the aim or main intent of the organization. The activities describe how your organization will accomplish its purposes.
  • When describing a charitable activity, keep the following points in mind:
    • what you want to achieve
    • how you're doing it โ€“ detailed plans
    • who the beneficiaries are and how they are selected any fees charged
    • frequency and length of the activity
    • involvement of employees and volunteers
    • how you maintain direction and control over activities and resources
    • other logistics (transportation, facilities, etc.)

  • The name must be submitted to Government for approval. This process involved:
    • Submitting a name request application to Government. 3 choices of names can be included per submission, if you don't 3 choices you can write the same name.
    • Government, they will check the availability of your Name and determine whether it is valid for registration
    • Once Government has processed the name submission, you will receive a Name Request Number (NR number) which is valid for 56 days.
  • It is a computerized name search report generated based on a proposed corporate / business name or trade-mark from Government databases listing similar and conflicting names of existing business names and trademarks. To incorporate a Federal Corporation an appropriate NUANS Report is required.
  • Yes. There are 2 different kinds of reports:
    • A NUANS report for Federal and a NUANS report for each of the following provinces: Ontario, Alberta & New Brunswick.
    • The rest of the Canadian provinces have their own name approval processes and doesn't require a NUANS report. Examples of such jurisdictions are: B.C., Quebec, Manitoba, Saskatchewan, Newfoundland & Labrador, PEI, Yukon, they each require a name search report from their respective provincial database and registry and NOT from the NUANS database.
  • NUANS report is required for all named incorporations. NUANS report is a name search report which doesn't guarantee acceptance of that name by Government. We, along with the NUANS report do an analysis of the name so that it is acceptable for a corporation's name.
  • Incorporation Date

  • The proposed incorporation date is official registration date for the corporation. It is also called the anniversary date or the date in which the following year, corporation's annual return gets due. Requested date for incorporation cannot be in past date. It must be current date or maximum 30 days in future.

  • Corporation's Address

  • A corporation is required to have a physical registered office address in selected province. P.O. box or virtual mail box address is not acceptable. If you do not have a physical address, we offer address and mail scanning service.

  • All Corporations in Canada need a Physical or street address in the province, it can be rental place or home address.
  • Yes, this address can be changed later. In many cases when commercial place is not rented yet, residential address is given.
    • If you are setting up a business in Canada but you donโ€™t have a street address in Canada then we have an address service which you can make use of. This is primarily a document scan and mail service.
    • With this address added to the package, we will receive all documents that were sent to the business by Canada Revenue Agency, Government and forward them to you in the form of scanned email copies.
  • Yes, you have the choice to renew it on an annual basis. Normally, the price remains same.
  • Extra-Provincial Registration (Mandatory)

  • Federal Corporations are required to register in the province in which they will conduct business and where the registered office is located. If you are planning to expand your business to other jurisdictions and provinces in the future then you will have to registering in those places too at that time. Moreover, extra-provincial registration documents are usually required for opening bank accounts, getting city licences and other business and official procedures.
  • Note: If you select Skip Provincial Registration, you must do it before commencing your business.

  • All Federal Corporations must register with the Province where the head office or registered office is located. This process is called extra-provincial registration and it is mandatory. This can be done along with the Federal incorporation or afterwards but before the commencement of business activities.

  • An incorporator is an individual or company who is requesting the government to incorporate this company. Only owners or shareholders can be incorporators.   • There is no specific rule regarding the titles of officers. You can use any title among that fits the best of the duties of the officer. Almost all corporations have an officer titled โ€˜Presidentโ€™, which might be useful for the operation of a corporation or when preparing legal contracts/documents.

  • If you hire or plan to hire one or more Employees, you may need to register for Workers' Compensation Boards (WCB) Account.

  • All corporations need a Corporate tax ID (RC 0001) to file taxes. Taxes needs to be filed even if the income is zero(0) dollar for the Year.
    • Registering with Workers' Compensation Boards (WCB) is required for most businesses In selected province within 10 days of hiring their first employee. Some types of businesses are exempted from mandatory registration with WCB based on the activities (Examples are banks, insurance companies, hair salons (with exceptions), private schools or daycares, travel agencies, etc.) but many employers in these industries choose to register with the WCB anyways for protection to their workers.
    • WCB registration is more important for small businesses and start-ups to provide financial security in the event of a workplace accident.
    1. These Services when added with the package costs less. To do this services later involves manual process and cost more money and takes longer time.
    2. Cost that occurs during business set up, is called Business Development Expenses, is tax claimable. Costs that occurs after business already registered, is called operational cost, is not tax claimable. These costs will occur at any way, since these are mandatory filing, therefore, it's wise to include in package.

  • A Non-profit Corporation will not issue shared certificates of stock in order to establish participation. Instead, its members should receive Membership Certificates. Membership certificates are legal and official proof of membership of your not-for-profit organization.
